1. Acceptance of Terms
By accessing or using the PayPlz platform available at payplz.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and PayPlz ("Company," "we," "us," or "our").
By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.
2. Description of Service
PayPlz is a business-to-business (B2B) debt recovery automation platform designed for small and medium-sized businesses. The Service provides:
- Automated invoice tracking — import and monitor outstanding B2B invoices.
- Escalation sequences — automated, professionally written reminder sequences sent at configurable intervals (e.g., 7, 30, and 60 days overdue).
- Multilingual communications — debtor notifications in English, French, and Spanish.
- Recovery dashboard — real-time reporting on days sales outstanding (DSO), recovery rates, and invoice status.
PayPlz is a software tool that assists you in managing your own receivables. We are not a collection agency, a law firm, or a financial institution. We do not guarantee the recovery of any specific debt, nor do we provide legal, financial, or accounting advice.
3. Account Registration & Eligibility
To use the Service, you must:
- Be at least 18 years of age.
- Be a representative of a registered business entity or a sole proprietor operating a lawful business.
- Provide accurate, current, and complete registration information.
- Maintain the security of your account credentials.
The Service is intended exclusively for business-to-business (B2B) debt recovery. You may not use PayPlz to collect consumer debts or personal obligations. You are responsible for all activity that occurs under your account.
4. Pricing & Payment
The Service is offered at a flat rate of $49 USD per month, which includes unlimited invoice tracking and automated escalation sequences. There are no commissions, no per-invoice fees, and no long-term contracts.
- Billing — all payments are processed through Stripe. By subscribing, you authorize recurring monthly charges to your designated payment method.
- Cancellation — you may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period. No refunds are issued for partial months.
- Price changes — we reserve the right to modify pricing with 30 days' prior written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
- Failed payments — if a payment fails, we will attempt to process the charge again. If payment remains unsuccessful after a reasonable number of attempts, we may suspend or terminate your account.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. Without limitation, you agree not to:
- Use the Service to collect consumer debts or personal obligations.
- Send communications that are harassing, threatening, abusive, or obscene.
- Misrepresent the nature of the debt, the amount owed, or your identity.
- Violate the Fair Debt Collection Practices Act (FDCPA), the Telephone Consumer Protection Act (TCPA), or any equivalent state or provincial regulations.
- Violate applicable Canadian federal or provincial collection laws, including but not limited to the Collection and Debt Settlement Services Act (Ontario), the Collection Agents Act (British Columbia), or equivalent legislation in other provinces.
- Use the Service to contact debtors at prohibited times or through prohibited channels as defined by applicable law.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit viruses, malware, or any other malicious code.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
You are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, provincial, and local laws governing debt collection practices in the jurisdictions where you operate and where your debtors are located.
6. Intellectual Property
All content, features, and functionality of the Service — including but not limited to the software, design, text, graphics, logos, and escalation templates — are owned by PayPlz and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data you upload to the Service, including invoice data, debtor information, and business records. By uploading data, you grant us a limited, non-exclusive license to process and store that data solely for the purpose of providing the Service to you.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data and the data of the debtors you manage through the platform.
You represent and warrant that you have the legal right to upload debtor information to the Service and that doing so does not violate any applicable privacy law, contractual obligation, or debtor right. You are responsible for complying with all applicable data protection regulations, including but not limited to the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada and applicable US state privacy laws.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- PayPlz does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
- PayPlz does not guarantee the recovery of any debt and shall not be held liable for any unrecovered amounts.
- In no event shall PayPlz, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.
- Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to PayPlz in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless PayPlz, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation, including debt collection laws.
- Any dispute between you and a debtor arising from communications sent through the Service.
- Any claim that data you uploaded to the Service infringes upon the rights of a third party.
10. Termination
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@payplz.io.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:
- You breach any provision of these Terms.
- You use the Service for unlawful purposes or in a manner that could harm PayPlz, other users, or third parties.
- We are required to do so by law or a regulatory authority.
- Your payment method fails and cannot be resolved within a reasonable timeframe.
Upon termination, your right to use the Service ceases immediately. We will retain your data for a period of 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.
12. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were last revised.
